Agreement to these terms
These terms are a legal agreement between you — the clinic, its owner or its authorised users — and the operator of ClinicSutra for using this software and the website it is served from.
By creating an account, signing in or otherwise using ClinicSutra you accept these terms in full. If you do not accept them, do not use the service. Where your clinic has a separate written contract with us, that contract prevails over these terms.
What ClinicSutra is
ClinicSutra is clinic management software: patient and family records, visits, prescriptions, billing and dues, dispensary stock, follow-up reminders and reports, in one application.
It is supplied in two forms — hosted, where you sign in from a browser, and standalone, installed on your own computer. The feature set is the same and only the machine holding the database differs. Both forms are covered by these terms.
It is practice-management software. It is not a medical device, not a diagnostic tool and not a substitute for professional judgement. The Disclaimer forms part of these terms.
Who may use it, and your account
You must be legally capable of entering a binding contract under Indian law, and you must be a healthcare provider or someone authorised by one. Accounts are for the people who actually work in that clinic.
The details you give us on registration must be accurate and stay current. Your credentials are yours to keep secret, and you are responsible for everything done through your account until you tell us it has been misused.
- Keep your username and password to yourself.
- Give each staff member their own account instead of sharing one.
- Tell us at support@clinicsutra.com at once if you think your account has been used without your permission.
Trials, subscriptions and fees
A new clinic starts with a free trial of the whole application. No card is taken and nothing is charged automatically. When the trial ends, the subscription you chose applies.
Prices, the length of the term and what is included are shown before you pay and repeated on your invoice. Unless we agree otherwise in writing, a subscription runs for the term stated on that invoice and does not renew automatically.
Taxes, including GST where it applies, are added as Indian law requires. Not paying for a subscription does not delete anything: the application keeps your records and switches to read-only until the subscription is paid for.
Your data
You keep ownership of the records you and your staff enter. We process them only to run and support the service, as described in the Privacy Policy and the Data Protection Policy.
You confirm that you have a lawful basis to enter each record, including any notice or consent required from the patient or their guardian under Indian law, and that what you enter is accurate to the best of your knowledge.
Acceptable use
You must not use ClinicSutra to:
- do anything unlawful, fraudulent or harmful to a patient;
- hold or enter data you are not authorised to hold, or try to reach another clinic’s data;
- probe, scan, test or reverse engineer any part of the service, or attack it, without our written permission;
- interfere with the service — overloading it, scraping it, introducing malware — or get around licensing, trial or subscription limits;
- resell, sublicense, re-brand or provide the service to third parties as if it were your own;
- publish or transmit content that infringes someone else’s rights.
Licence to the software
While your subscription is active we give you a limited, revocable, non-exclusive, non-transferable licence to use ClinicSutra to manage your own clinic. This is a licence, not a sale: we and our licensors keep every right in the software.
Except where applicable law expressly allows otherwise, you may not copy, modify, translate, decompile, or distribute the software or any part of it.
Intellectual property
The software, its interface, its documentation, its trademarks and every improvement to them belong to the operator and its licensors. Nothing in these terms transfers any of that to you.
Your data stays yours. If you send us feedback or suggestions you let us use them without any obligation to you — never with your patient data attached.
Updates, availability and changes
We improve the application continuously. Features may change or be replaced, and we will try not to take away something a clinic relies on without telling you first. Standalone installations may need to install an update to stay supported.
We do not promise that the service will be uninterrupted, error-free or available at every moment. The Disclaimer applies to availability.
We may update these terms. The current version is always this page, carrying the date it was last updated. A material change to your subscription is told to you before it affects you; using the service after that means you accept it.
Third-party services and links
The service relies on third parties — the company hosting it, a payment provider when you pay, and links that open WhatsApp or other apps. Those parties have their own terms and privacy policies, and we are not responsible for them.
Suspension and ending your use
You may stop using ClinicSutra whenever you like; cancel as described in the Subscriptions & refunds policy and you keep access until the end of the term you paid for.
We may suspend or end access where these terms are broken, where a subscription is not paid for, or where the law requires it — giving notice wherever we reasonably can.
Before you leave, take a backup from inside the application; on request we will help you with an export of your records. Data is then kept only for as long as the Privacy Policy describes, and after that it is deleted.
Disclaimers and limits of liability
To the extent the law allows, ClinicSutra is provided as it is, with all faults. The Disclaimer forms part of these terms.
Neither party is responsible for indirect or consequential loss. Our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose, to the extent permitted by law.
Nothing in these terms limits liability that Indian law does not allow to be limited — including liability for fraud or wilful misconduct, and your statutory rights as a consumer under the Consumer Protection Act, 2019.
Indemnity
You will hold us harmless against claims that arise from your misuse of the service, the records you entered, or your breach of these terms — including a claim brought against us by a patient over records your clinic entered. This applies to the extent permitted by law.
Governing law and disputes
These terms are governed by the laws of India. The courts at [City] have jurisdiction, subject to your right to raise a complaint before the appropriate consumer forum under the Consumer Protection Act, 2019.
Please come to us first — most problems are settled on the Grievance Redressal page, and you can approach a forum at any time.
